Individuals and groups accomplish their work by making arrangements with others: co-owners, investors, lenders, consultants, employees, counterparties, etc. Consequences for managing potential disputes, risk allocation, profit participation, and taxes will differ greatly depending on how one's arrangements are structured and executed. Each enterprise needs to consider and revisit regularly its business arrangements, structure, organizational governance, and compliance issues. Henderson's transactional and business experience makes him well-equipped to counsel his clients about these issues.
Henderson's has a Bachelor of Commerce degree from Santa Clara University, having focused on accounting, finance and economics. In addition, he received a Master of Business Taxation degree from the University of Southern California. Henderson's work prior to entering law school involved business formation and compliance issues; and his legal education and experience has focused on (besides land use and environmental law) business transactions, formation, governance, taxes and compliance.
Henderson began his legal career in the Corporations Department of O'Melveny & Myers, where he gained experience with numerous business and public agency transactions. His experience also includes securities law and serving as underwriter's counsel in connection with the financing of land development. Henderson has personally formed and secured tax-exempt status for three successful IRC section 501(c)(3) nonprofit corporations; and he has litigated and mediated employment disputes, garnering knowledge of employment and agency law.
